The significance of "Hooker with a Penis" is that Tool may be the whore "laying down" for the Man (the evil corporate, capitalist entity), but this whore at the same time has a penis-- the whore is also the Man. Likewise, both the record company and the fan accusing the band of 'selling out' are also hookers with penises. They also occupy both places of being the sellout and the Man. The song is just pointing out the absurdity and hypocrisy in claiming the band has sold out. In the song, the fan's ideal of what the band should be, his former conception of the band as opposed to how he sees them now, was an image of a band that had already sold out.

On Lateralus, Ticks and Leeches is the new incarnation of Hooker with a Penis in that it also addresses the recording industry and obnoxious fans.
